1. Definitions
- Service — the LearnCore Systems platform, web app, mobile app, and APIs.
- Customer — the legal entity that signed up for an account.
- Tenant — a Customer's branded academy instance.
- End user / student — someone using the academy with credentials issued by the Customer.
- Customer Data — any content the Customer or its students put into the Service.
2. Your account
You're responsible for what happens under your account. Keep your password safe; enable 2FA. Tell us if you suspect unauthorised access. The Customer is responsible for the actions of its admins, tutors, and students.
3. Acceptable use
Don't use LearnCore to: distribute malware; host illegal content; harass students; circumvent our rate limits or AI safety filters; resell access without an explicit reseller agreement; or extract data we couldn't lawfully give you (e.g., scraping other tenants).
We may suspend a Tenant on a clear violation. We give 7 days' written notice for anything that isn't an emergency.
4. Fees and payment
- Plans bill monthly or annually, in USD, in advance, via Stripe.
- Overages on AI credits or active students are billed at the published rate at the start of the next cycle.
- Failed payments: we email, retry for 7 days, then suspend (read-only access remains for 30 days).
- Annual plans are non-refundable except as required by law.
5. AI and content
The Service uses AI to draft homework reviews and answer tutor questions. AI output is a draft, not authoritative. The Customer is responsible for the final grade or response shown to students. We're not liable for student decisions taken on the basis of AI suggestions alone.
6. Customer Data & ownership
You own your Customer Data. We get a narrow, time-limited licence to host, display, transmit, and process it for the sole purpose of providing the Service. We never sell it, never use it to train models, never disclose it except as required by law.
You can export your Customer Data at any time. On termination, you have 30 days to export; after that we delete per the Privacy Policy.
7. Service-level commitment
We target 99.9% uptime on the production surface. Scheduled maintenance is announced 48 hours in advance. SLA credits are available on Growth and Enterprise — see your order form.
8. Confidentiality
Each side keeps the other's confidential information confidential, with the usual exceptions (publicly known, independently developed, lawfully required).
9. Warranties & liability
The Service is provided "as is". We disclaim implied warranties to the extent permitted by law. Our aggregate liability for any 12-month period is capped at fees paid by the Customer in the prior 12 months. We are not liable for indirect, consequential, or lost-profit damages.
10. Termination
Either side can terminate for material breach with 30 days' written notice and a cure period. We can terminate immediately for non-payment after the suspension period or for repeated acceptable-use violations.
11. Governing law
These terms are governed by the laws of the European Union member state where the contracting LearnCore entity is incorporated (specified in your order form). Disputes are handled in those courts.
12. Changes
We may update these terms. Material changes are emailed to the billing contact at least 30 days before they take effect. Continued use after the effective date is acceptance.
